About the role

The Senior Paralegal serves a key role in the Corporate Secretary’s Office of Gap Inc.’s fast-paced and dynamic Legal Department. The person in this position will work on multinational corporate governance matters. The Senior Paralegal will be responsible for subsidiary governance for our global apparel business and other paralegal duties from time to time. Senior Paralegal with international and SEC 1933 and 1934 Act experience is a plus.
The role is based at Gap Inc.’s headquarters in San Francisco and will report to the Manager, Corporate Secretary’s Office. The Senior Paralegal is a key participant in maintaining corporate governance at Gap Inc., extremely organized, and proactively anticipates the needs for statutory requirements of subsidiary governance work. He/she collaborates with team members, business partners and outside counsel globally; is able to work well with cross functional teams on subsidiary governance matters and projects; shares information broadly – through structured means and in response to ad hoc requests; and is customer focused, team-oriented, precise, and deliberate.

What you'll do

  • Works alongside team to effectively support Gap Inc. with its multinational subsidiary and public company corporate governance.
  • Supports Gap Inc.’s subsidiary entity structure including legal entity formation, dissolution, and transactional work.
  • Manages entity corporate governance actions including preparation of agendas, minutes and resolutions.
  • Coordinates subsidiary board schedules in accordance with governance requirements, and drives and facilitates subsidiary board meetings.
  • Manages public company SEC and NYSE filings, and subsidiary state qualification filings.
  • Ensures proper level of maintenance of official corporate records.

Who you are

  • 5 to 8 years of corporate paralegal experience (significant experience with legal entity management); SEC public company experience is a plus.
  • Effective verbal and written communication skills.
  • Open to challenges, takes initiative, and is proactive. Strong attention to detail.
  • Manages multiple demands at once, works well under pressure. Manages responsibilities confidently as unexpected issues arise.
  • Demonstrated ability to establish and maintain exceptional working relationship with teams, peers, and senior management.
  • Advanced user of Word, PowerPoint and Adobe. Experience with entity management database and Wdesk a plus.
  • Commissioned Notary Public a plus.
  • College Degree preferred
